Terms of Use and Sale

1. Purpose and acceptance

These Terms of Use and Sale (the "Terms") govern access to and use of the Toolsky website, available at https://toolsky.fr (the "Site"), published by [COMPANY NAME — TO BE COMPLETED] ("we", the "Publisher"), whose full contact details appear in the legal notice, as well as the sale of the Premium access described in Article 4.

By browsing the Site, creating an account or subscribing to the Premium offer, you accept these Terms without reservation. If you do not accept them, please do not use the Site.

2. Service description

Toolsky is a directory that lists discounts, free offers and benefits on tools, software and subscriptions, aimed in particular at students, freelancers and startups. Part of the catalogue is available for free; Premium access gives you access to all listed offers and the related guides.

Important: the listed offers are provided by third-party publishers, under their own conditions (eligibility, duration, availability). Toolsky is not a party to the contract you enter into with these publishers and does not sell the listed tools. Offers may be changed or withdrawn at any time by their publishers, without notice. We update the catalogue regularly and carefully, but we do not guarantee the accuracy, completeness or permanent availability of each offer.

3. User account

An account is created via a magic link sent by email or through a Google account. You undertake to provide a valid email address and to keep access to your account confidential. The account is personal: sharing credentials or reselling access is prohibited.

We reserve the right to suspend or delete an account in the event of a breach of these Terms, in particular in the case of account sharing, mass extraction of the catalogue or fraudulent use of offers (false declaration of eligibility to third-party publishers, for example).

4. Premium offer and pricing

Premium access is offered under two plans, whose current prices are displayed on the Pricing page in euros, all taxes included:

• Annual Premium: a one-time payment giving access to all exclusive offers for twelve (12) months from the payment. Access does not renew automatically: no further charge is made without a new order from you.
• Lifetime Premium: a one-time payment giving access to all exclusive offers and their updates for the entire operating life of the Site. "Lifetime" refers to the lifetime of the Toolsky service, not that of the user.

The Publisher may change its prices at any time; the applicable price is the one in force on the day of the order.

5. Order and payment

Payment is made online by bank card through our secure payment provider Stripe. We do not store any bank card data on our servers. Premium access is activated immediately after payment confirmation, and a confirmation is sent to you by email.

6. Right of withdrawal

Premium access constitutes the supply of digital content without a physical medium, performed immediately after payment. In accordance with Article L221-28, 13° of the French Consumer Code, by confirming your order you request the immediate performance of the service and expressly waive your fourteen (14) day right of withdrawal as soon as you access the Premium content.

7. Legal guarantees

You benefit, under the conditions provided for by the French Consumer Code (Articles L224-25-12 et seq.), from the legal guarantee of conformity applicable to digital content and services. In the event of a lack of conformity of the Premium access, you may request that it be brought into conformity and, failing that, a price reduction or termination of the contract, free of charge. 8. Liability

The Publisher undertakes to provide the Site with due diligence, under a best-efforts obligation. Its liability cannot be engaged in the event of:

• modification, suspension or withdrawal of an offer by the third-party publisher that provides it;
• refusal of an offer by a third-party publisher, in particular for failure to comply with its eligibility conditions;
• damage resulting from the use of the third-party tools and services referenced;
• temporary interruption of the Site for maintenance or malfunctions beyond its control.

Nothing in these Terms excludes or limits the Publisher's liability in cases where it cannot lawfully be excluded or limited.

9. Affiliate links

Some links on the Site are affiliate links: the Publisher may receive a commission when you subscribe to an offer through these links, at no extra cost to you.

10. Intellectual property

The Site, its structure, its texts and its offers database are protected by copyright and by database producers' rights. Any substantial extraction or reuse of the catalogue is prohibited. The trademarks and logos of the referenced tools belong to their respective owners.

11. Personal data

The processing of your personal data is described in our Privacy Policy.

12. Consumer mediation

In accordance with Articles L612-1 et seq. of the French Consumer Code, you may use a consumer mediator free of charge in the event of an unresolved dispute with our customer service. Designated mediator: [MEDIATOR NAME AND CONTACT DETAILS — TO BE COMPLETED after joining a mediation scheme].

13. Governing law and disputes

These Terms are governed by French law. Any dispute relating to their interpretation or performance falls within the jurisdiction of the competent French courts. If you are a consumer, you may bring the matter, at your choice, before the court of your place of residence or that of the Publisher's registered office.

14. Amendment of the Terms

We may amend these Terms at any time. The applicable version is the one published on this page on the day you use the Site; orders remain governed by the version in force on the day of the order. In the event of a substantial change, users who have an account will be informed by email.
